Welcome to ArtUP WORKSHOP (the "Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website artupworkshop.com (the "Site"), as well as your purchase of products from our online store, engagement of our illustration services, and participation in our educational services. By accessing the Site, placing an order, engaging our services, or enrolling in our educational programs, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Site or our services.
These Terms apply to all users, including visitors, customers, clients, and students. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site or our services after any changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
1. Description of Products and Services
1.1 Products
Our online store offers signed prints of original artwork and illustrations ("Products"). All Products are subject to availability. We make every effort to display accurate images, descriptions, and pricing, but errors may occur. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.
1.2 Illustration Services
We provide custom illustration services, including branding materials, ad illustrations, and banners for online marketing ("Illustration Services"). All Illustration Services are subject to availability and our capacity to accept new projects. Illustration Services are tailored to your specifications and may involve initial consultations, drafts, revisions, and final delivery.
1.3 Educational Services
We offer educational services, including externships and classes, designed to provide training in illustration, design, or related skills ("Educational Services"). All Educational Services are subject to availability and our capacity to offer programs. These programs are intended to enhance your skills but do not guarantee success, employment, or any specific outcome. You acknowledge that outcomes depend on your effort, ability, and external factors beyond our control, and we make no assurances of professional success or job placement.
2. Ordering and Purchasing Products
2.1 Placing an Order
To purchase Products, you must provide accurate billing and shipping information. By submitting an order, you represent that you are authorized to use the payment method provided and that all information is true and complete.
2.2 Availability and Confirmation
All Products are offered subject to availability. If a Product is unavailable after you place an order, we will notify you and either cancel the order or offer an alternative. Orders are not confirmed until we send you a confirmation email.
2.3 Pricing and Payment
Prices are listed in USD currency and exclude taxes, shipping, and handling fees unless otherwise stated. We accept payments via PayPal. Payment must be received in full before shipment.
2.4 Shipping and Delivery
We ship Products to the continental United States (please use the email contact below if you have a question about purchasing & shipping elsewhere). Shipping times are estimates only and not guaranteed. We are not responsible for delays due to customs, weather, or other factors beyond our control. Risk of loss passes to you upon delivery to the carrier.
3. Engaging Illustration Services
3.1 Service Agreement
To engage our Illustration Services, you must contact us via the Site or email to discuss your project. We will provide a quote based on your requirements. Illustration Services commence upon your acceptance of the quote and payment of any required deposit (e.g., typically 50% of the total fee).
3.2 Scope and Revisions
The scope of Illustration Services will be outlined in the quote or a separate agreement. We offer a reasonable number of revisions (e.g., up to 3 rounds) as part of the fee. Additional revisions may incur extra charges. Changes to the scope may require a revised quote.
3.3 Availability and Timelines
All Illustration Services are subject to our availability and scheduling. Timelines are estimates and may be affected by revisions, delays in your feedback, or unforeseen circumstances. We will communicate any changes promptly.
3.4 Delivery
Final deliverables will be provided digitally (e.g., via email or file-sharing link) unless otherwise agreed. Physical delivery, if applicable, follows the shipping terms in Section 2.4.
3.5 Payment for Illustration Services
Payments are due as specified in the quote (e.g., deposit upfront, balance upon completion). Invoices must be paid within 14 days. Late payments may incur fees or result in suspension of Illustration Services.
4. Engaging Educational Services
4.1 Enrollment
To enroll in our Educational Services, you must register through the Site or contact us directly. Enrollment is subject to availability and our capacity to offer the program. You must provide accurate information during registration and meet any prerequisites specified for the externship or class.
4.2 Limitations of Expectations
Our Educational Services are designed to provide skill development and learning opportunities. We do not guarantee:
Professional success or mastery of skills.
Employment or job placement.
Specific outcomes or results from participation. You acknowledge that success depends on your effort, aptitude, and external market conditions, and we are not liable for your inability to achieve desired outcomes.
4.3 Program Delivery
Educational Services may be delivered in-person, online, or through a combination of methods, as specified at enrollment. We reserve the right to modify the format, schedule, or content of programs due to availability or unforeseen circumstances, with reasonable notice to you.
4.4 Payment for Educational Services
Payments are due as specified at enrollment with full payment upon booking each session. Invoices for any additional educational services (e.g., public speaking events or other engagements) must be paid within 14 days. Late payments may result in suspension or cancellation of your participation without refund.
4.5 Cancellations and Refunds for Educational Services
Externships or classes may be rescheduled with no penalty fee at our discretion, subject to availability. Cancellations before the session start date may be eligible for a partial refund, less any non-refundable deposit (e.g., 25% of the fee, if applicable). No refunds are offered after the program begins, except in cases of our failure to deliver the program as described due to our error.
5. Intellectual Property
5.1 Products
Signed prints are for personal use only. You may not reproduce, distribute, or commercially exploit them without our written permission. We retain all copyrights and intellectual property rights in the underlying artwork.
5.2 Illustration Services
Upon full payment, we grant you a non-exclusive, perpetual license to use the final deliverables for the intended purpose (e.g., branding or marketing). We retain ownership of all preliminary drafts, concepts, and unused materials. You may not resell, sublicense, or modify the deliverables without our consent. You represent that any materials you provide (e.g., references or branding guidelines) do not infringe third-party rights.
5.3 Educational Services
Materials provided during Educational Services (e.g., handouts, slides, or digital content) are for your personal, non-commercial use only. You may not reproduce, distribute, or share these materials without our written permission. We retain all intellectual property rights in our Educational Services content.
6. Refunds, Returns, and Cancellations
6.1 Products
We accept returns for damaged or defective Products within 14 days of receipt. Notify us promptly with proof of damage. Refunds will be issued to the original payment method, excluding shipping costs. Custom or personalized Products are non-refundable unless defective. We do not accept returns for change of mind.
6.2 Illustration Services
Deposits are non-refundable. If you cancel after work has begun, you may be charged for work completed to date. Refunds for completed Illustration Services are at our discretion and only if the deliverables fail to meet the agreed specifications due to our error.
6.3 Educational Services
See Section 4.5 for cancellation and refund policies specific to Educational Services.
7. Limitations of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site, Products, Illustration Services, or Educational Services, including loss of profits, data, or opportunities. Our total liability shall not exceed the amount paid by you for the specific Product or Service in question.
We provide Products and Services "as is" without warranties of any kind, express or implied, including fitness for a particular purpose. While we strive for accuracy, we do not guarantee that the Site, Illustration Services, or Educational Services will be error-free or uninterrupted, nor do we guarantee specific outcomes from Educational Services.
8. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of these Terms, misuse of Products or Services, or violation of third-party rights.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of the State of Illinois, USA .
10. Force Majeure
We shall not be liable for delays or failures in performance caused by events beyond our reasonable control, including acts of God, war, pandemics, or supply chain disruptions.
